Affiliate Program Terms and Conditions

These Affiliate Program Terms and Conditions ("Affiliate Terms") govern your participation in the Rankry Affiliate Program (the "Program"). The Program is operated by Rankry LLC ("Rankry," "Company," "we," "us," or "our") and is administered through our third-party affiliate management platform, Reditus ("Reditus").
By enrolling in, accessing, or participating in the Program, you ("Affiliate," "you," or "your") agree to be bound by these Affiliate Terms, our Terms of Service and our Privacy Policy, each incorporated by reference. If you do not agree, do not enroll in or participate in the Program.
We may update these Affiliate Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice, update the "Last Updated" date above, and material changes will take effect at least fourteen (14) days after notice. Your continued participation in the Program after changes become effective constitutes acceptance of the revised Affiliate Terms.
1. Definitions.
1.1. "Affiliate Link" means the unique tracking URL or code assigned to you through Reditus that attributes referred traffic and sales to your account.
1.2. "Referral" means a person or business that clicks your Affiliate Link and visits the Service.
1.3. "Qualified Sale" means a Referral who creates an account and purchases an eligible paid subscription to the Service, and whose purchase is not refunded, charged back, cancelled within any applicable refund or trial window, or otherwise reversed.
1.4. "Commission" means the amount payable to you for a Qualified Sale, as stated in your Program listing and dashboard within Reditus.
1.5. "Attribution Window" has the meaning given in Section 5.
1.6. "Service" means the Rankry website at rankry.ai and the Rankry AI visibility analytics platform.
2. Enrollment and Eligibility.
2.1. To participate, you must register through Reditus, provide accurate and complete information, and be approved by us. We may approve or reject any application at our sole discretion.
2.2. You represent that you are at least eighteen (18) years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into this agreement.
2.3. You are responsible for keeping your account information, payment details, and tax information current and accurate.
2.4. We may suspend or terminate your participation at any time, with or without cause, as described in Section 11.
3. Affiliate Links and Tracking.
3.1. Upon approval, you will receive one or more Affiliate Links through Reditus. You may use only the Affiliate Links and promotional assets we provide or approve.
3.2. Tracking, attribution, and reporting are handled by Reditus. You agree that Reditus data is the authoritative record for clicks, conversions, and Commissions. We are not liable for tracking failures caused by user browser settings, ad blockers, cookie deletion, or third-party interference.
3.3. You may not alter, mask, cloak, or redirect your Affiliate Links in any way not approved by us.
4. Commissions.
4.1. You earn a Commission on each Qualified Sale, at the rate and for the duration stated in your Program listing and dashboard within Reditus. Where recurring Commissions apply, you earn them for the stated period only while the referred customer remains an active paying subscriber.
4.2. Commission rates, structures, tiers, and durations are set by us and may be changed prospectively. Changes do not affect Commissions already confirmed prior to the change.
4.3. Commissions are accumulated, confirmed, and paid out through Reditus according to the payout schedule and minimum payout threshold stated on the platform.
4.4. Commissions are calculated on the net amount actually received by us, excluding taxes, refunds, discounts, and processing fees.
5. Cookie and Attribution Window.
5.1. The Program uses a thirty (30) day, last-click attribution window. A Referral is attributed to you if they complete a Qualified Sale within thirty (30) days of their most recent click on your Affiliate Link.
5.2. If a Referral clicks the Affiliate Links of more than one affiliate, the affiliate associated with the last click before the Qualified Sale receives the Commission.
5.3. Attribution depends on cookies and tracking that may be affected by the customer's device, browser, or privacy settings. We do not guarantee that every Referral will be tracked.
6. Promotional Conduct.
6.1. You will promote the Service honestly and lawfully, and only in a manner consistent with the reputation of Rankry.
6.2. You must clearly and conspicuously disclose your affiliate relationship with Rankry wherever you promote the Service, in compliance with the U.S. Federal Trade Commission (FTC) Endorsement Guides and any applicable advertising or consumer-protection laws.
6.3. You are solely responsible for the content, channels, and methods you use to promote the Service, and for compliance with all applicable laws, including anti-spam, data-protection, and advertising regulations.
7. Prohibited Practices. You may not, directly or indirectly:
7.1. Brand bidding. Bid on, purchase, or use in paid search or paid advertising any keywords, ad copy, display URLs, or ad extensions that consist of or include "Rankry," "rankry.ai," or any variation, misspelling, translation, or term confusingly similar to our brand or trademarks. This prohibition applies to all paid search engines and ad networks.
7.2. Trademark and domain misuse. Register, use, or traffic in any domain name, subdomain, social handle, or app name that contains "Rankry" or a confusingly similar term (including typosquatting), or direct-link paid ads to the Service in violation of any Paid Ads Policy stated in your Reditus Program listing.
7.3. Self-referral. Earn or attempt to earn Commissions on your own subscriptions, your own purchases, or purchases by entities you control.
7.4. Fraud and manipulation. Engage in cookie stuffing, forced clicks, automated traffic, bots, click farms, fake accounts, falsified leads, or any other artificial or deceptive method of generating clicks or sales.
7.5. Spam. Promote the Service through unsolicited email, SMS, comment spam, forum spam, or any messaging that violates the CAN-SPAM Act or equivalent laws.
7.6. Misrepresentation. Make false, misleading, or unsubstantiated claims about the Service, its pricing, features, or results; impersonate Rankry or its employees; publish fake reviews or testimonials; or create the impression that you are an official representative, reseller, or employee of Rankry.
7.7. Coupon and incentive abuse. Publish fake, expired, or unauthorized discount or coupon codes, or offer cashback, rewards, or other incentives for purchases without our prior written approval.
7.8. Unsuitable placement. Promote the Service on any website or channel that contains or distributes illegal, infringing, deceptive, adult, hateful, harassing, or otherwise objectionable content.
7.9. Unauthorized brand use. Use our name, logo, trademarks, screenshots, or other brand assets except as expressly provided to you, or in any way that damages or dilutes our brand.
We may, at our sole discretion, withhold or reverse Commissions, suspend your account, or terminate your participation for any violation of this Section.
8. Independent Promotion; No Guarantee.
8.1. Participation in the Program does not guarantee any minimum level of traffic, conversions, or Commissions.
8.2. We may modify, suspend, or discontinue the Program, the Service, or any feature at any time without liability to you, subject to payment of Commissions already confirmed.
9. Disqualification and Reversal of Commissions.
9.1. Commissions are not earned until the underlying Qualified Sale is confirmed. We may withhold or reverse Commissions associated with sales that are refunded, charged back, cancelled within an applicable trial or refund window, fraudulent, or that result from a violation of these Affiliate Terms.
9.2. We reserve the right to review, audit, and reject any Commission we reasonably believe to be invalid, fraudulent, or non-compliant. You may dispute a rejected Commission by contacting us as described in Section 17.
10. Payments and Taxes.
10.1. Payments are processed through Reditus once you meet the minimum payout threshold stated on the platform.
10.2. You are responsible for providing any tax information or documentation we or Reditus reasonably require, and for all taxes owed on Commissions you receive. We may withhold payment until required tax documentation is provided.
10.3. You are an independent party and are solely responsible for reporting and paying your own taxes. Commissions are paid without withholding except where required by law.
11. Term and Termination.
11.1. These Affiliate Terms remain in effect while you participate in the Program.
11.2. Either party may terminate participation at any time, for any reason, with or without notice.
11.3. Upon termination, your right to use Affiliate Links and brand assets ends immediately, and you must stop promoting the Service. Subject to Section 9, Commissions confirmed before termination remain payable; Commissions not yet confirmed may be forfeited if termination results from your breach.
12. Relationship of the Parties.
12.1. You are an independent contractor. Nothing in these Affiliate Terms creates an employment, agency, partnership, joint venture, or franchise relationship.
12.2. You have no authority to make any representation, commitment, or obligation on behalf of Rankry, and you may not present yourself as having such authority.
13. Intellectual Property.
13.1. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Affiliate Links and the brand assets we provide, solely to promote the Service in accordance with these Affiliate Terms.
13.2. This license terminates automatically when your participation ends. All rights not expressly granted are reserved by Rankry. You acquire no ownership in our trademarks, logos, or other intellectual property.
14. Disclaimers and Limitation of Liability.
14.1. The Program is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the Program.
14.2. To the fullest extent permitted by law, Rankry will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of or related to the Program. Our total aggregate liability arising out of or related to the Program will not exceed the total Commissions paid or payable to you in the three (3) months preceding the event giving rise to the claim.
15. Indemnification. You agree to indemnify and hold harmless Rankry, its affiliates, and their officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your participation in the Program, your promotional activities, your violation of these Affiliate Terms, or your infringement of any third-party rights.
16. Governing Law and Disputes.
16.1. These Affiliate Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-law rules.
16.2. Before initiating formal legal proceedings, you agree to attempt good-faith resolution by sending written notice to us and allowing at least thirty (30) days for informal resolution.
